Seller Terms

Version 2026-10-13. Replaces the 2026-10-10 version. What changed: you are now the seller of record. Buyers pay you, on your own Stripe account, and we take our 10% fee from each payment there. Refunds, disputes, card fees and sales tax are handled on your account. Sections 2 to 5, 7 to 11, 13, 15 and 16 changed. Placeholders in brackets are still to be filled in.

1. What this is

These are the terms between ProvenSkills, operated by Lisby Holdings LLC (doing business as ProvenSkills) ("we", "us"), and you, the seller, for publishing and selling subscriptions to agent skill packs through ProvenSkills. You accept them, together with our privacy policy, when you create your seller account, and we ask you to confirm each new version at your next sign-in. We keep a record of each acceptance (version, time, IP address).

2. The relationship

You are the merchant. Buyers buy a subscription to your pack from you, and the payment goes to your own Stripe account. We provide the software: the storefront, the checkout page, the billing set-up on your account, the delivery of your skills into your buyers' AI apps, and the access control that follows each subscription. You set the prices, you write and own the content, you decide what your license allows, and you answer your buyers' questions, including questions about charges, receipts and refunds. As the merchant you are responsible for telling your buyers how you handle their billing data, and you will publish your own privacy notice for it.

While a pack is listed here, you will not move buyers who found it through ProvenSkills to a direct arrangement for the same skills, and you will not use the subscriber list we export for you to do that.

3. Your Stripe account and our fee

To sell, you connect a Stripe account. You can create one through ProvenSkills in a few minutes. It is your account: you own it, you see every payment in your own Stripe dashboard, and Stripe's Services Agreement applies between you and Stripe. We create the products, prices, promotion codes and billing settings for your packs on your account, and Stripe pays out to your bank on your account's payout schedule.

We take 10% of every subscription payment as our fee, collected by Stripe from the payment on your account as an application fee. The fee is calculated on the amount before sales tax and after any promotion code, and it applies the same way to monthly payments, annual payments and every renewal. Free tiers carry no fee. We may change the fee with 60 days' written notice, and the change applies to payments after the effective date, unless we agree a different rate with you in writing.

Worked example: a $300 per month tier, no tax. The buyer pays $300 to your Stripe account. Our fee is $30. Stripe's processing fee for the payment (about $9.00 at Stripe's standard US card rate) is charged to your account by Stripe. You keep the rest, about $261.

Manage your subscriptions in ProvenSkills, not in your Stripe dashboard. Do not create, recreate, extend, discount or move your buyers' subscriptions there, because a change made there can remove our fee. We monitor for those changes. If one removes or cuts our fee, you owe us the fee that would have applied. We invoice that amount, it is due within 15 days, and we may take your packs off sale until it is paid.

Your Revenue page shows each sale, refund and dispute with our fee. Your Stripe dashboard is the record of what reached your bank.

4. Refunds and disputes

Refunds and disputes happen on your Stripe account, between you, your buyer and Stripe.

You can refund a buyer from your Revenue page or from your Stripe dashboard. When you refund, our fee on that payment is not returned, unless we agree otherwise for a specific sale. If a buyer disputes a payment, Stripe handles it on your account under Stripe's rules: you answer the dispute in your Stripe dashboard, and Stripe's dispute fee and any withdrawn amount are charged to your account. If you win, Stripe returns what it withdrew. Our fee on the original sale stays with us in either case.

If your Stripe account cannot cover a refund or dispute, Stripe recovers it from you under its own agreement with you. We do not carry those amounts.

We may refund or cancel a buyer's subscription without asking you only where the law or Stripe's rules require it, and we tell you when we do.

5. Taxes

You are responsible for sales tax, VAT and similar taxes on your sales. Checkout collects tax through Stripe Tax once you turn it on and add your head office address and tax registrations in your Stripe dashboard. Until then, no tax is collected, and Stripe collects none in a place where you are not registered. You file and remit the tax you collect. Our fee is calculated before tax and is not a tax. You are responsible for your own income taxes. Where the law requires us to report the fees we collected, we do.

6. What you can publish

You warrant that for every pack and every version:

  • You own or have a license to everything in it, and publishing it does not infringe anyone's copyright, trademark, trade secret, or contract.
  • Nothing in it is malware, a hidden instruction, or an instruction that acts against the buyer's interest (for example, sending the buyer's data anywhere, instructing the buyer's AI to ignore the buyer, or calling other tools the buyer did not ask for).
  • Pack names, skill names and slugs carry no third-party trademarks and do not imply endorsement by any AI vendor.
  • Where a skill operates in employment, legal, medical, insurance, or financial decisions, it instructs the AI to have a qualified person review the output before it is used and to disclose that AI assisted.
  • No client names, credentials, private keys or internal paths appear in it unless they are yours to publish.
  • Release notes describe the change and do not reproduce skill content.

We scan uploads and review a new seller's first publishes. Scanning is not approval, and it does not shift responsibility for content to us. We may refuse, suspend, or remove any version or pack at any time, with notice where practical.

7. Your buyers' license

Each pack carries a license to the buyer. You may use our template license or supply your own. At minimum the license permits the buyer's organization to use the skills internally and prohibits redistribution and resale, and prohibits using them to build a competing product. The license is between you and the buyer, and we record the buyer's acceptance on your behalf. The purchase is between the buyer and you.

You give us a license to host, copy, scan, show on the storefront and deliver your packs to buyers, for as long as they are listed here and, after you leave, for as long as any buyer's paid period still runs.

8. Email to your buyers

Your buyers get receipts and billing emails from your Stripe account if you turn on customer emails in your Stripe dashboard, and account emails from ProvenSkills about signing in and connecting their AI app. We do not market to your buyers, and we do not share your subscriber list with anyone else. You can export your subscriber list to support your buyers. You will not use it in ways your buyers did not agree to.

9. Pricing changes

You set and change tier prices in your ProvenSkills dashboard, and we update the prices on your Stripe account to match. A new price applies to buyers who subscribe after the change. Buyers already subscribed keep the price they signed up at until they cancel or change plan. Please change prices in ProvenSkills, not directly in your Stripe dashboard, so your storefront and your account stay in step.

10. Trials and discounts

Trials, introductory pricing and promotion codes are configured through ProvenSkills's pricing tools so the required disclosures appear at checkout. You will not run "negative option" offers or hidden-price trials.

11. Data

You are the merchant, so the payment records of your sales (payments, tax, refunds, disputes) live on your Stripe account and are yours. We keep the records we need to run the service and collect our fee: which organization subscribed to which pack, the fee on each payment, and the related Stripe ids. The subscriber contact data you export is yours to use for supporting your buyers, within section 8. Our subprocessors are Stripe, Supabase, Vercel, Resend and, for sellers who connect a repository, GitHub. We keep a log of which organization used which skill and when (never the buyer's conversation) for 13 months. A data processing addendum will be attached before we accept buyers outside the United States.

12. Security

We protect your content and your buyers' data with encryption in transit and at rest, access controls, and least-privilege operations. We will notify you within 72 hours of confirming a security incident that affects your data. On request we will provide a security statement and answer a reasonable vendor questionnaire.

13. Suspension and leaving

We may suspend your publication for a breach of these terms, a credible infringement or safety complaint, a Stripe compliance action, or an unpaid amount you owe us.

You may leave at any time by writing to support@provenskills.ai. We take your packs off sale, and buyers keep access until the end of their current billing period. You cancel their subscriptions on your Stripe account. Because payments are on your Stripe account, there is no balance for us to pay out. Refunds and disputes that arrive after you leave are handled on your Stripe account. Before you disconnect your Stripe account from ProvenSkills, cancel the subscriptions for your packs on your account. Once you disconnect, we can no longer reach your account. Your packs go off sale and each buyer's access ends at the end of their current period, but those subscriptions keep billing on your account until you cancel them. Stripe keeps collecting our fee on those payments until you cancel. We refund that fee to you, from our side, for payments made after you disconnect.

14. Takedowns

We have a designated agent for copyright notices under the DMCA. We follow notice and counter-notice, and we terminate repeat infringers.

15. Liability

The service is provided as is. We are not liable for the output your skills produce, for your buyers' use of them, for your Stripe account, or for lost profits. Our total liability to you is limited to the fees we collected from your sales in the 12 months before the claim. You indemnify us for claims arising from your content, your sales, and your own dealings with buyers.

16. General

Changes. We may update these terms and our privacy policy. Each new version carries its date and is posted on the site. By continuing to use ProvenSkills after a new version is posted you accept it, except that changes to our fee follow the notice in section 3, and we ask you to confirm it at your next sign-in.
